Refund Policy
RED MIND LLC wants customers to understand how cancellations and refund requests are handled before and after an order is placed. This Refund Policy applies to purchases made through State Filings for business formation, filing assistance, document preparation, registered agent coordination, compliance support, and related services.
OverviewOrders begin processing shortly after purchase. Depending on the service, processing may include reviewing customer-submitted information, preparing documents, generating filing packets, checking state-specific requirements, communicating with government filing portals, assigning internal operations work, coordinating registered agent or add-on services, and submitting or preparing submissions to a government agency. Because work may begin quickly, we cannot guarantee that an order can be cancelled once it has been placed.
How to Request a RefundTo request cancellation or a refund, contact us at support@filesllc.com or call (800) 706-4930. Please include the customer name, business name, order number if available, email address used at checkout, and a brief explanation of the request. We may ask for additional information to verify the order and review the status of the filing. Submitting a request does not automatically guarantee approval; each request is reviewed based on the status of the order and the services already performed.
Refund Request DeadlineApproved refund requests must be made within six (6) months of the original purchase date. Requests made after that period are not eligible for a refund. This deadline applies even if the customer has not completed requested information, has not responded to support messages, or has not accessed the customer portal.
Before Work BeginsIf you request cancellation before we have begun meaningful processing, prepared documents, ordered add-on services, or submitted anything to a government agency, we may approve a full or partial refund. In many cases, payment processor fees, administrative costs, or other already-incurred costs may be deducted from the refund amount where permitted by law and processor rules.
After Work BeginsOnce work has begun, refunds may be limited or unavailable. Work may include document preparation, application review, state-specific compliance review, filing packet generation, customer support, automation or manual filing preparation, registered agent coordination, or other administrative processing. If we have already performed substantial work but the filing has not yet been submitted to a government agency, we may, at our discretion, approve a partial refund that reflects the work already completed and costs already incurred.
After Government SubmissionYour order is no longer refundable once submitted to a government agency. A filing may be considered submitted when we transmit documents, data, payment, forms, or filing information to a Secretary of State or other applicable agency, whether submission occurs through an online portal, mail, upload, API, payment checkout, or another agency-approved method. Government processing times, agency review delays, name availability decisions, rejection decisions, or agency portal issues do not make a submitted order refundable.
Government Filing FeesGovernment filing fees are paid to the applicable state agency as part of the filing process. These fees are generally non-refundable once remitted to the government agency, even if the agency rejects, delays, or later requires correction of a filing. If a government fee has already been paid, that amount will not be refunded by RED MIND LLC unless the agency returns the fee to us and the refund is otherwise approved.
Rejected, Delayed, or Corrected FilingsGovernment agencies may reject or delay filings for reasons outside our control, including business name availability, incomplete or inaccurate customer information, agency discretion, state rules, portal outages, payment review, mail handling, or additional agency requirements. A rejection or delay does not automatically qualify for a refund. When appropriate, we may help correct or resubmit a filing based on the service purchased and the reason for the issue.
Customer Information IssuesCustomers are responsible for providing accurate, complete, and current information. Refunds may be denied if a filing is delayed, rejected, or cannot be completed because the customer provided incorrect information, omitted required details, failed to respond to requests, selected the wrong service or state, changed their mind after processing began, or no longer wants to proceed after work has already been performed.
Registered Agent, Renewal, and Recurring ServicesRegistered agent services, annual renewals, compliance subscriptions, and other recurring services may have separate cancellation and renewal terms disclosed at checkout or in service communications. Fees for a service period that has already begun may be non-refundable. To avoid future renewal charges, cancellation requests must be submitted before the applicable renewal date and processed according to the instructions provided for that service.
Add-On and Third-Party ServicesSome orders include add-ons or third-party services, such as operating agreements, EIN assistance, compliance support, certified copies, business license assistance, payment processing, mail handling, or other partner-supported services. Refund eligibility for these items depends on whether the service has started, whether third-party costs have been incurred, and whether the service has already been delivered or made available.
Chargebacks and Duplicate RequestsIf you initiate a chargeback, bank dispute, or payment processor dispute, we may pause any pending refund review while the processor investigates. Duplicate refund requests, abusive requests, or requests involving suspected fraud may be denied. We reserve the right to provide order records, communications, filing status, and service history to payment processors, banks, or other parties involved in resolving a payment dispute.
Refund Method and TimingApproved refunds are usually returned to the original payment method. Processing times depend on the payment processor and the customer’s bank or card issuer. Even after we approve or initiate a refund, it may take several business days or longer for the credit to appear. We are not responsible for delays caused by banks, card networks, payment processors, or third-party providers.
No Legal, Tax, or Financial AdviceThis Refund Policy describes our business refund practices. It is not legal, tax, or financial advice and does not limit any non-waivable consumer rights that may apply under applicable law. If a law gives you rights that cannot be waived, this policy will be applied only to the extent permitted by that law.
